Court Orders Bitmain and JWKJ to Arbitrate Dispute Over Seized Bitcoin Mining Rigs

On Thursday, August 8, 2024, the United States District Court for the Eastern District of Missouri, Eastern Division granted a defendant’s motion to compel arbitration in the case of Bitmain Technologies Georgia Limited v. JWKJ Technologies LLC.

Bitmain had engaged JWKJ to operate over 6,000 bitcoin mining servers at JWKJ’s data center facility pursuant to a Service Framework Agreement between the two parties. However, a dispute arose when JWKJ allegedly locked Bitmain out of the facility in June 2024 and refused to return the servers and bitcoin rewards that were rightfully Bitmain’s. Bitmain claimed JWKJ’s actions amounted to a breach of contract and other legal violations, totaling around $15 million in damages.

Bitmain filed a complaint against JWKJ seeking injunctive relief and damages. In response, JWKJ filed a motion to dismiss the complaint and compel arbitration, relying on an arbitration provision in the Service Framework Agreement. The provision stated that any disputes arising under the agreement would be submitted to arbitration. While it acknowledged the availability of injunctions, it did not explicitly carve out injunctive relief claims from arbitration.

In an opinion authored by United States District Judge Henry Edward Autrey, the court examined the arbitration clause and applied principles of federal arbitration law. The judge found that the arbitration provision was valid and covered “all disputes” between the parties, without exception. Even if the differing language relating to injunctions created ambiguity, federal policy requires construing ambiguities in favor of arbitration.

The court also noted that nothing in the agreement allowed claims for injunctive relief to circumvent arbitration. Absent clear language excluding such claims, they must be arbitrated along with other disputes. As the claims fell within the scope of the valid arbitration agreement, the Federal Arbitration Act required the court to grant the motion and stay the case pending the outcome of arbitration.

In keeping with the act, the court ordered the case to be stayed while the parties arbitrate the matter. They will be required to provide a status update within 90 days to inform the court of arbitration developments.
