Erindale Energy Files Amended Complaint Against Y Energy, Executives

On Thursday, March 5, 2026, Erindale Holdings, Erindale Energy and Highway 233 Solar filed an amended complaint in the US District Court for the Southern District of New York against Y Energy, LLC, Y Energy Capital, LLC, Y Energy Services, LLC, Y Energy Construction, LLC, The Kubes Group, Inc., Wedgewood Energy, Inc., Shippers Alliance, Inc., MMW Consulting, LLC, Stefan Forker, and Timothy M. Kubes, alleging fraud, embezzlement, breach of fiduciary duty, and breach of contract related to two solar energy systems in New York State.

The plaintiffs, collectively known as “Erindale,” claim that the defendants misappropriated funds, fraudulently induced loans, and mismanaged solar energy projects, resulting in significant financial losses. The complaint seeks to regain control of the solar energy systems, recover misappropriated funds, obtain compensatory and punitive damages, and pierce the corporate veil of Y Energy to hold its subsidiaries, owners, and controllers jointly and severally liable.

According to the complaint, the dispute began in 2019 when Erindale was introduced to Y Energy through Stefan Forker, who presented Y Energy as a spin-off of Global Green Energy Fund. Erindale subsequently invested in several solar energy facilities sourced by Y Energy. The plaintiffs allege that Forker provided false financial documents showing inflated cash flows and revenues from these projects, concealing evidence of commingling and misappropriation of funds.

The complaint details a series of financial transactions and loans made by Erindale to Y Energy, including funds for the construction of the Westmoreland System and general corporate use. Erindale claims that these funds were misappropriated by Forker, who allegedly transferred approximately $1.6 million from Y Energy to a cryptocurrency account in 2021 and 2022, and subsequently lost it through cryptocurrency trading. Timothy Kubes, another defendant, allegedly became aware of Forker’s actions but concealed them from Erindale.

The plaintiffs further allege that Kubes encouraged Forker to solicit additional funds from Erindale, knowing that Y Energy desperately needed the money due to Forker’s misappropriation. Kubes also allegedly transferred $590,000 from Y Energy’s bank account to Wedgewood’s bank account after learning of Forker’s fraud.

The plaintiffs claim that the defendants’ actions caused significant delays in the completion of the Westmoreland System, resulting in lost revenue and additional expenses. Erindale also alleges that Y Energy defaulted on promissory notes, leading to a lawsuit in New York State Supreme Court in 2025, where Erindale obtained a summary judgment against Y Energy for $848,160.81.

The complaint includes claims for breach of contract, breach of fiduciary duty, conversion, unjust enrichment, actual fraud, constructive fraud, fraudulent concealment, civil conspiracy, and declaratory judgment and injunctive relief. The plaintiffs seek compensatory and punitive damages, disgorgement of ill-gotten gains, and a declaration that the defendants are jointly and severally liable for satisfying the Notes Judgment.
